Corporate Compliance Alert: Annual Corporate Minutes Scam

The Oregon Secretary of State's office and the Washington Secretary of State's office have both confirmed that there is a scam impacting business owners in Oregon and Washington. This scam involves someone referring to themselves as "Corporate Records Service" in Salem or Olympia sending out 2013 Annual Minutes Forms to registered agents and officers with instructions to complete the forms, enclose $125.00, and return it for filing. These mailings may arrive in green envelopes. If you receive this or something similar, be aware it is a scam.

While your company may or may not actually be due for an annual meeting for which minutes should be recorded, annual meeting minutes are NOT filed with the Secretary of State, nor is there such a filing fee.
